Terms & Conditions
Version 1.0 · Last updated: 28 October 2026
1. Who we are, and what these terms are
These Terms & Conditions ("Terms") are a contract between you and Javier Peralta Muñoz, trading as inklan, a sole trader (empresario individual) established in Spain, address Avenida Arias de Velasco, 14, 29601 Marbella, Málaga, tax identifier (NIF) 78984909B ("inklan", "we", "us"). Our Legal Notice gives the identification details that Spanish law requires.
They govern your use of the inklan apps for iOS and Android, the organisation portal at portal.inklan.com, and the website at inklan.com (together, the "Service").
Our Privacy Policy, Cookie Policy, Community Guidelines and Etiquette & Safety policy form part of these Terms. If they and these Terms ever say different things, these Terms win.
Contact: legal@inklan.com for legal notices, support@inklan.com for everything else.
2. Definitions
- Member — someone with an inklan account.
- Guest — someone browsing public content in the app without signing in.
- Organisation — a company or non-profit account, managed by its members in the organisation portal.
- Plan — an activity or event organised through inklan, free or paid. A Plan can repeat daily, weekly or monthly for up to a year; each of its dates is then a Plan of its own, which you join, pay for and attend on its own.
- Trip — a multi-day activity organised through inklan, free or paid.
- Community — a group members can join, with its own administrators and content.
- Organiser — the Member or Organisation that creates a Plan, Trip or Community, and anyone they make a host or co-host.
- Ticket — the entry pass inklan issues when you join a Plan or Trip, whether free or paid.
- Content — anything you create, upload, post or send through the Service.
- Premium — the paid subscription for Members.
3. Accepting these Terms, and who may use the Service
By creating an account or using the Service you accept these Terms. If you do not accept them, do not use the Service.
You must be at least 18 years old. You confirm your age when you sign up, and any birth date you add must be true. If you use the Service on behalf of an Organisation, you confirm you are authorised to bind it, and "you" then means both you and that Organisation.
We may refuse to open an account, or close one, for a legitimate reason — for example a previous ban, a legal requirement, or because we do not offer the Service where you are. We may also stop offering the Service in a country; if we do, we give the members there at least 30 days' notice, and section 14 applies.
4. Your account
You can sign in with a one-time code we send to your email address, with a password if you set one, with your Google account, or with your Apple account on iPhone. You must give accurate information and keep it up to date.
You are responsible for your sign-in details and for everything done through your account. Do not let anyone else use your account. You can see and end your active sessions in Settings → Account → Sessions & Security. Tell us at support@inklan.com as soon as you suspect unauthorised use.
You can add two-factor authentication with an authenticator app. If you do, keep your recovery codes. We cannot restore access to an account whose second factor and recovery codes are both lost.
Organisations are managed in the organisation portal, where their administrators can invite members and give them roles. At an Organisation's request, we can set up single sign-on to the portal, which then signs in only email addresses on the Organisation's own domains. An Organisation's administrators control that Organisation's account and the data in it, except its single sign-on, which only we can see or change.
5. What the Service does — and what it does not do
inklan lets you discover, create and join Plans, Trips, Communities and events; follow people; chat with the people involved; get and check Tickets; and manage your profile.
inklan is a platform, not an organiser. Plans, Trips, Communities and events are created and run by their Organisers. We do not verify Organisers, we do not supervise events, we are not a party to any arrangement between you and an Organiser or between you and another Member, including the sale of a Ticket (section 10.3), and we do not check that an event is safe, legal, insured, licensed or as described.
Some event listings in the app come from third-party platforms (Ticketmaster, Xceed and Google Events) and from public agendas published in Spain, Portugal, Italy, France and Germany. Each such event names the sources it comes from and their licences and, where a source asks for it, as French public sources do, the date it last updated the listing. We adapt these listings rather than copy them as published: we convert them to plain text, shorten long descriptions and merge listings of the same event into one. We do not control them and do not warrant that they are accurate or current, and a ticket for such an event is bought from the third party that sells it, under its own terms. The public bodies and platforms that publish them do not sponsor or endorse inklan. Our Sources and credits page lists every source, its licence and the reference data we use to place listings on the map.
Assistant suggestions are generated by AI and must be checked. With Premium, where we offer it, the trip and plan assistant suggests activities for the days of a Trip, or ideas for a Plan, using an AI model, public event listings and places other Members planned nearby. Suggestions are drafts for you to review: nothing is added to your Trip or Plan until you choose what to keep, and what you keep is your Content (section 7). They can be wrong, out of date, closed, unsuitable, or not what the model says they are, and they never state opening hours, prices or booking conditions. Check any place, activity or event yourself before relying on it, travelling or paying. We do not warrant that a suggestion is accurate, safe or available, and use of the assistant is limited per day and may be unavailable at times.
The organisation tools. In the organisation portal, whichever plan an Organisation is on, its administrators and contributors can use the assistant:
- to write or improve a Plan's description;
- to draft a Trip's itinerary.
These are limited to a fair-use number of requests a day per Organisation. What the assistant writes is generated by AI and can be wrong. The Organisation reviews it before using it, and is responsible for what it publishes, as for the rest of its Content (section 7). An Organisation may import events from a calendar file or address only if it has the right to use them. Imported events become drafts that the Organisation reviews before publishing.
6. Meeting people, and going to events
inklan brings people together in the real world. That carries risk, and that risk is yours.
- Use your judgement before meeting anyone you met through inklan, and before attending an event.
- Check the details of an event with its Organiser before travelling, paying or committing.
- Follow the law and the Organiser's rules at any event you attend.
- Organisers may set a minimum or maximum age. We check it against the birth date on your profile when you ask to join, when you are accepted and when you accept an invitation. You need a birth date on your profile to join a Plan or Trip that has an age limit.
We do not run background checks on Members or Organisers. To the extent the law allows, we are not responsible for the conduct of any Member, Organiser or attendee, online or offline, nor for anything that happens at or in connection with an event.
If you organise, it is yours to run. You must hold every licence, permit, registration and insurance that the law or the venue requires for what you organise — for example for a public event or show, for serving food or alcohol, for a guided, sporting or adventure activity, or for travel — and you must run it safely and as described. We do not check any of this, and inklan's own insurance does not cover your Plans, Trips or Communities, or the people who take part in them.
Trips that include travel. If the price of a Trip covers two or more kinds of travel service for the same trip — such as transport, accommodation or car hire, or one of them together with another tourist service that is a significant part of the Trip — it can be a package (viaje combinado) under travel law. You may sell such a Trip through inklan only where travel law allows you to, for example as a licensed travel agency, and you then bear every duty that law gives the organiser of a package. inklan is neither the organiser nor the retailer of a package: you sell the Trip yourself, on your own Stripe account (section 10.3).
7. Your Content
You keep ownership of your Content.
You grant us a worldwide, non-exclusive, royalty-free, sublicensable licence to host, store, reproduce, adapt (for technical purposes such as resizing), publish and display your Content for the sole purpose of operating, securing and improving the Service and making it available to the audience you chose. The licence lasts as long as the Content is on the Service, plus the time our backups take to cycle out (14 days). We do not use your Content to advertise you or to sell to third parties.
You confirm that you have the rights to the Content you post and that it does not infringe anyone else's rights.
Chat messages are end-to-end encrypted (see our Privacy Policy). We cannot read them, and we cannot recover them for you: if you have not made a key backup and you lose access to every device holding your keys, your older messages are gone. Messages in Plan, Trip, Community and city chats are deleted three months after they were sent; messages in direct chats are kept. A Plan or Trip chat closes when the Plan or Trip ends, and what is left in it is deleted 30 days later; the Plan or Trip itself stays.
You may delete your Content. Content you contributed to a shared space may be kept without your name rather than removed, where removing it would break the record for other participants.
8. Acceptable use
Our Community Guidelines say what may and may not be organised, posted and done on inklan, and our Etiquette & Safety policy says how we expect hosts and attendees to treat each other. Both are part of these Terms. In particular, you must not:
- Break the law, or help anyone else do so.
- Harass, threaten, bully, stalk, defame or impersonate anyone.
- Post content that is hateful, violent, sexually explicit, or that exploits or endangers a minor.
- Post spam, scams, pyramid or referral schemes (this does not cover taking part in inklan's own invite program, section 10.8), or unsolicited advertising.
- Create a Plan, Trip or Community as a front for something illegal or deceptive, or sell Tickets for an event you do not intend to hold as described.
- Upload malware, or anything designed to damage or interfere with a system.
- Scrape, crawl or harvest data from the Service, or access it by any automated means we have not authorised.
- Reverse engineer, decompile or attempt to derive our source code, except to the extent the law expressly permits.
- Probe, scan or test the security of the Service, get around sign-in, rate limits, free-tier limits or age limits, or use another Member's account.
- Resell Tickets, or resell, sublicense or commercially exploit the Service or another Member's Content without our written permission.
- Use the Service to build a competing product.
Organisations and Community administrators are responsible for their members' behaviour within the spaces they control, and must set and enforce rules consistent with this section.
9. Reporting, moderation and enforcement
Reporting. You can report a Member, a Plan or a Community post from within the app. To report anything else — a message, a Trip, a Community, or content you believe is illegal — write to support@inklan.com, saying where it is, why you think it breaks these Terms or the law, and your name and email address (unless you are reporting certain serious offences, where you may stay anonymous). We confirm that we received your report and tell you what we decided.
Who decides. inklan staff review reports. Community administrators and moderators also review reports about their own Community and can ban members from it; a Community ban is their decision, not ours. Nobody reviews a report about themselves, and when Community administrators or moderators dismiss a report or only give a warning, inklan staff review it as well.
Automated checks. Before a Plan or Trip is published, and whenever its name, description, tags, links or places change, it is checked automatically for illegal content: whether it seems to organise, sell or promote something illegal, such as drugs, weapons, sexual exploitation, violence, hatred or fraud. If it clearly does, it is not published or changed, and the app tells you so straight away. You can change it and try again. If you think the check got it wrong, write to support@inklan.com: a person looks at it and tells you the outcome. A refusal is about that Plan or Trip only; it does not restrict your account. If the check cannot answer at that moment, the Plan or Trip is published or changed anyway and checked again later; if that later check finds something, a person reviews it before anything is removed. Each new Plan in a Community is also checked against that Community's rules; a match only sends the Plan to a person for review. Because messages are end-to-end encrypted, we cannot screen them: for reported messages we act on what the reporter shows us and on information that is not encrypted.
What we may do. Where Content or conduct breaks these Terms or the law we may, in proportion to what happened: remove or hide Content; give a warning; limit what an account can do; suspend or close an account; or remove a Member from a Community. We may act immediately where there is a risk to people's safety or to the Service, or where the law requires it.
Telling you why, and challenging it. When we remove your Content or restrict your account, we tell you what we did, why, and on what basis, unless the law or someone's safety prevents it. If you disagree, reply to that message or write to support@inklan.com within six months. A person reviews your challenge — where possible someone who was not involved in the original decision — and we tell you the outcome. You can also go to the courts.
We may report conduct to the authorities where we believe the law requires it or someone is at risk. Public authorities can contact us at legal@inklan.com, in Spanish or English.
Illegal content, and if you are in the United Kingdom. We protect members from illegal content by reviewing every report, by checking new and edited Plans and Trips as described above, and by removing illegal content as soon as we become aware of it; we do not read messages, because they are end-to-end encrypted. If you are in the UK, the Online Safety Act 2023 applies to us. You can report content you believe is illegal in the ways set out above, and you can complain to us at support@inklan.com if you think we have not met our duties under that Act — for example about content we removed or failed to remove, about a restriction on your account, or about how your report was handled. We look at every such complaint against the law, these Terms and our Community Guidelines, and tell you the outcome. If we restrict your Content or your account in breach of these Terms, you can bring a claim for breach of contract under section 20.
10. Premium, payments and tickets
10.1 Free tier
You can use inklan for free. The free tier has limits — currently 3 Plans and 2 Trips per calendar month, and 1 Community you own — and in Explore it shows what is around you plus one other city per calendar month. We show your usage in the app. Setting a price for a Plan or Trip needs Premium or an Organisation account, and a Stripe account connected to inklan (section 10.7). We may change these limits with reasonable notice.
10.2 Premium subscription
Premium is a recurring subscription. It currently includes unlimited Plans, Trips and Communities, repeating Plans, exploring events in any city, trip journals, message requests to people you are not connected with, the trip and plan assistant (section 5) within a fair-use daily limit where we offer it, and setting a price for your Plans and Trips (section 10.7). The price, billing period and what it includes are shown before you buy, and that is what applies.
Premium is sold only as an in-app purchase in the iOS and Android apps, sold by Apple or Google. Your subscription is governed by that store's terms as well as these Terms, payment, billing and cancellation are managed in your store account, and refunds are handled by Apple or Google under their policies, not by us.
Subscriptions renew automatically for the same period until you cancel in your store account. Cancel any time before the renewal date; your Premium features last until the end of the period already paid for. When Premium ends, what you created stays, and the free-tier limits apply to what you create next — except your repeating Plans: their dates that have not started yet are cancelled when Premium ends, as if you had cancelled them yourself, and the people going are told (section 10.3 applies to their Tickets). Dates that already took place are kept. When your Premium is set to end on a known date, the Premium page tells you how many dates that will cancel.
Price changes are announced by Apple or Google under their rules; you can cancel before a new price applies to you.
If a payment fails, Apple or Google may retry it over a short period and keep your access active during a grace period. If it still fails, Premium ends and your account reverts to the free tier.
10.3 Tickets, and paid Plans and Trips
When you join a Plan or Trip, we issue you a Ticket with a code and a QR image. The Organiser checks your Ticket in at the door. A Ticket is valid only for the Plan or Trip it was issued for, is personal to you, and must not be resold or transferred.
Who you are buying from. Every paid Ticket is sold by the Organiser, not by inklan. A Plan or Trip run by a Member is offered by that Member, who is normally a private individual, not a business. When that is so, the consumer protection laws that apply to purchases from a business — such as the legal guarantees in section 15 — do not apply to your deal with the Organiser, and only the refund rules in this section protect you. A Plan or Trip run by an Organisation is offered by a business, and consumer law applies to it. We show on each Plan or Trip page whether its Organiser is a Member or an Organisation.
Paying. For a paid Plan or Trip, you pay the Organiser by card, through Stripe's payment form in the app. The price is set by the Organiser and shown before you pay. The payment is made on the Organiser's own Stripe account: it goes to the Organiser, and your card statement shows the name the Organiser chose in Stripe. inklan provides the checkout and receives a fee from the Organiser out of the price (section 10.7); it does not receive or hold your payment.
Refunds. Refunds are owed by the Organiser and paid from the Organiser's Stripe account, never by inklan. inklan starts them automatically, on the Organiser's behalf, in the cases below. Refunds go back to the card you paid with, and your bank usually shows them within 5 to 10 business days. You get a full refund if:
- the Organiser cancels the Plan or deletes the Trip;
- your place cannot be confirmed after you paid (for example the Plan filled up, closed or no longer exists), or you were charged twice;
- the Organiser removes you from the Plan or Trip;
- the Organisation that runs the Plan or Trip refunds your Ticket, which it can do at any time — if the Plan or Trip has not started yet, you also leave it;
- you leave the Plan or Trip 48 hours or more before it starts.
If you leave less than 48 hours before it starts, you do not get a refund.
If the Organiser significantly changes a paid Plan or Trip after you paid — for example its date, time or place — and you no longer want to go, write to support@inklan.com before it starts and we will refund you in full on the Organiser's behalf, as above.
If the Organiser's Stripe account does not hold enough money for a refund, we tell you and the Organiser, and Stripe makes the refund as soon as the account can cover it; until then the Organiser still owes it to you.
Deleting your account does not refund your Tickets. Leave the Plans and Trips you paid for first, under the rules above.
The event itself is the Organiser's responsibility. We are not responsible for an Organiser's failure to deliver an event beyond processing the refunds described here, and, except where the law makes us responsible, we do not insure or guarantee the event or the Organiser's refunds.
10.4 Your right of withdrawal
If you are a consumer in the EU or the United Kingdom, you normally have 14 days to withdraw from a distance contract.
- Premium is sold by Apple or Google, who handle withdrawal and refund requests under their own terms for EU and UK customers.
- Tickets for a Plan or Trip on a specific date are exempt from the right of withdrawal: under Article 16(l) of Directive 2011/83/EU in the EU, and under regulation 28(1)(h) of the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 in the UK, both of which exempt leisure activities on a specific date. The refund rules in section 10.3 still apply.
10.5 Taxes
Prices include VAT where it applies, except the Organisation plan's monthly price, which is shown without VAT (section 10.6). As an Organiser, you are responsible for your own tax position.
10.6 Organisation plans
Setting up is free. Creating an Organisation and preparing it in the organisation portal costs nothing: its profile, its team and their invitations, its door staff, its Stripe account (section 10.7), and drafts of its Plans with their prices, templates and calendar imports.
Going live needs the Organisation plan. Unless it is a verified non-profit (below), an Organisation needs the Organisation plan to:
- publish a Plan or a date of a repeating Plan, or reopen one;
- create a Trip or a Community in the Organisation's name;
- sell Tickets for its Plans and Trips.
The organisation portal shows which plan the Organisation is on, what it costs and what it allows.
The Organisation plan. A monthly subscription (currently €19.90 a month, without VAT). inklan also keeps a fee on each Ticket the Organisation sells, a percentage of the Ticket price (currently 2.5%, section 10.7). An administrator of the Organisation subscribes on the portal's billing page and pays by card through Stripe. The price, the VAT that applies and the total are shown before paying. VAT is added at checkout, and a business customer that gives a valid VAT number is charged under the reverse-charge rules where they apply. The first month is charged straight away, unless the Organisation takes a founding place (below), and the subscription renews automatically each month until it is cancelled.
Cancelling. An administrator cancels the subscription in Stripe's billing portal, opened from the portal's billing page. The Organisation plan lasts until the end of the month already paid for, or until its founding months end, and then the subscription ends without any further charge.
If a payment fails. We tell the Organisation's administrators by email. The Organisation keeps the Organisation plan for 3 days while the payment is retried or updated in the billing portal. If it is still not settled by then, the subscription ends and nothing more is charged.
When the subscription ends. We tell the Organisation's administrators by email. From then on, whatever the reason it ended, the Organisation can no longer do what needs the Organisation plan: it cannot publish or create the things listed above, and its Plans and Trips stop selling Tickets. Nothing is cancelled, unpublished or refunded because the subscription ended: what the Organisation has published stays visible, Members can still join its free Plans, Tickets already sold stay valid and are checked in at the door, and refunds (section 10.3) and payouts go on. A buyer who started paying for a Ticket before the subscription ended can still complete the purchase. When an administrator subscribes again, the Organisation can publish and sell again.
Non-profits. A non-profit Organisation that gives its registration number is checked by us. Until we have verified it, it can set itself up as above but cannot subscribe, and it can publish and sell Tickets only if it already has a subscription. Once we have verified it, it pays no monthly price and no fee, and can publish and sell. If it has a subscription, the subscription ends at the end of the month already paid for, nothing more is charged, and we tell its administrators by email. If we reject it, we tell it the reason: it can then subscribe like any other Organisation, or correct its registration number in the portal to be checked again.
Founding Organisations. The first 10 companies to subscribe to the Organisation plan are founding Organisations. Creating an Organisation or selling a Ticket does not take a place: a company takes one by completing the subscription checkout while places remain. A place is held for a company while its checkout is open, and released if the checkout is not completed. A founding Organisation pays no monthly price for its first 6 months (its founding months), counted from the day it subscribes: it gives its card at the checkout, and nothing is charged then. inklan's fee on its Tickets (section 10.7) applies during the founding months as at any other time. We email its administrators when the founding months start, and again 7 days before they end with the date and the amount of the first charge. When they end, the subscription carries on like any other: the monthly price, plus VAT, is charged then and every month after, unless an administrator cancels before. If an administrator cancels during the founding months, the Organisation keeps the Organisation plan until they end, and nothing is charged. A company can be a founding Organisation only once. Non-profits are not founding Organisations, since once verified they pay nothing. We may stop offering founding places to new Organisations at any time; that does not affect an Organisation that already has one.
Changes. We may change the monthly price or the fee with reasonable notice by email to the Organisation's administrators. A new price applies from the first renewal after the notice, and the Organisation can cancel before then. A new fee applies only to Tickets sold after it takes effect.
The Organisation plan is sold to Organisations for their business or their activity, not to consumers.
10.7 Selling Tickets as an Organiser
Who can sell. You need Premium to set a price for a Plan or Trip you run as a Member, and your own Stripe account, connected to inklan. You connect it in Settings → Payouts. Stripe checks your identity and your bank details, and you accept the Stripe Connected Account Agreement, which is between you and Stripe. An Organisation's Stripe account is connected in the Organisation's name by one of its administrators, on the Payouts page of the organisation portal; only its administrators can change it, and it stays the Organisation's when the administrator who connected it leaves. If Stripe cannot verify a Stripe account or restricts it, Tickets for the Plans and Trips it sells cannot be bought until the account holder gives Stripe what it asks for. If your Premium ends, the paid Plans and Trips you already created keep selling, except the dates of a repeating Plan that have not started yet, which are cancelled (section 10.2) and their Tickets refunded (section 10.3).
You are the seller. Every paid Ticket for your Plan or Trip is your sale, made on your Stripe account: the buyer pays you, and you are responsible to them for the Ticket and the event. Stripe pays the money out to your bank on your Stripe account's payout schedule, and charges you its processing fees under your agreement with Stripe.
What you receive. When someone buys a Ticket for your Plan or Trip, you receive the price, less Stripe's processing fees and inklan's fee, a percentage of the Ticket price that the app shows before you set a price (currently 5%). Buyers pay the price you set; neither fee is added to it. Settings → Payouts shows what you sold and inklan's fees, and opens your Stripe dashboard.
Organisations. An Organisation sets the prices of its Plans and Trips in the organisation portal, and sells Tickets for them while it has the Organisation plan or is a verified non-profit (section 10.6). When someone buys a Ticket for one of them, the Organisation receives the price in its Stripe account, less Stripe's processing fees and inklan's fee. That fee follows the Organisation's plan (section 10.6): currently 2.5% of the Ticket price on the Organisation plan — also during its founding months and while a failed payment is being retried — and none for a verified non-profit. The fee is fixed when the buyer starts to pay, so a later change of plan or of the fee does not change it. Buyers pay the price the Organisation sets; the fee is not added to it. The portal's Earnings page shows the Organisation's administrators what each Plan date and Trip sold and inklan's fees, and lets them export those figures for a period they choose.
Refunds. When a Ticket is refunded under section 10.3 — the Organiser cancels the Plan or Trip or removes the buyer, the buyer leaves 48 hours or more before the start, their place cannot be confirmed, or an Organisation refunds it — we make the refund from the Stripe account the payment was made on, even if it has since been replaced, and inklan returns its fee. Stripe's processing fees on a refunded Ticket follow your agreement with Stripe. Your Stripe account must hold enough money to cover the refunds you owe: if it does not, Stripe makes the refund once it can, and until then you remain responsible to the buyer for it. When a buyer leaves less than 48 hours before the start, their payment stays with the Organiser. An Organisation's administrators and contributors can refund any paid Ticket for its Plans and Trips in full, at any time, from the portal: before the Plan or Trip starts, the buyer also leaves it; once it has started, the buyer stays among its participants with the Ticket marked refunded.
Disputes. If a buyer's bank reverses a payment (a chargeback or dispute), the dispute is with you, on your Stripe account: Stripe takes the amount, and any dispute fee, from your account under your agreement with Stripe, and you answer it in your Stripe dashboard. We cancel the buyer's Ticket. Many refunds or disputes on your sales can lead us to stop your Plans and Trips from selling Tickets, or to suspend your account (section 9).
What you owe us. The money from your Ticket sales is yours, and so are the refunds and disputes that come with it. Whether you sell as a Member or as an Organisation, if inklan nevertheless has to pay anything because of a Ticket you sold — a refund, a reversed payment or a fee that a buyer, a bank or Stripe claims from inklan, or an amount inklan has to pay a buyer or an authority because of your Plan or Trip, or because you broke these Terms or the law — you must pay it back to inklan when we ask.
Your responsibilities. You run the event you sell Tickets for and must deliver it as described, with the licences, permits and insurance it needs (section 6). You are responsible for your own taxes on what you receive, including any VAT on your Tickets. Your Stripe dashboard shows you what your buyers entered when they paid, such as their name and email address: use it only to handle the sale, its refunds and disputes, and as data protection law allows.
10.8 Invite rewards
You have a personal invite code and link, shown in Settings. For every 3 people who sign up with your code and confirm their email address, you earn 3 months of Premium.
Yearly limit. You receive at most 4 rewards (12 months of Premium) in any 365 days. Rewards reached beyond that are not given, then or later: the people who joined for them do not count toward another reward. The app shows the date from which you can earn a reward again.
What counts. A person counts once they have created a Member account with your code and confirmed their email address, and counts only once. A code can only be used when an account is created: signing in to an existing account with a code does nothing. You cannot use your own code, and Organisation accounts do not count.
How you receive it. An invite reward is a Premium period that we give you ourselves. It is not a subscription: nothing is bought from Apple or Google, nothing renews, and there is nothing to cancel. It starts as soon as you earn it, or when a previous reward period ends, and it ends by itself. Its months run on the calendar: if you also have a paid Premium subscription, the two run at the same time, and your subscription, its renewals and any refund from Apple or Google are not affected. The app shows when your reward period ends.
No cash value. Rewards have no cash value. They cannot be transferred, exchanged or paid out, and we do not credit them against a subscription.
Abuse. Creating fake or duplicate accounts, inviting yourself, or automating sign-ups voids the rewards involved, and section 9 applies: we may suspend or close your account. Sharing your own code is not a referral scheme under section 8, but the rest of that section applies to how you share it: no spam and no unsolicited advertising.
Changes. We may change or end the program with reasonable notice. Rewards you have already earned are kept and run to their end.
11. Our intellectual property
The Service — its software, design, brand, name, logo and documentation — belongs to us and our licensors. These Terms give you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service as it is intended to be used, and nothing more. You may not use our name or logo without our written permission.
If you send us feedback or ideas, we may use them freely and without owing you anything.
12. Third-party services and the app stores
The Service relies on third parties, including our hosting provider, Stripe, the Apple and Google app stores, and map, image and event-listing providers. Their availability is not within our control. The Privacy Policy lists them.
For the iOS app you also acknowledge that: these Terms are between you and us, not Apple; Apple has no obligation to provide support for the app; Apple is not responsible for any claim you have about the app, including product liability and intellectual property claims; and Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
13. Availability and changes to the Service
We aim to keep the Service running, but we do not promise it will be uninterrupted or error-free, and we give no uptime commitment. We may change, suspend or discontinue features. If a change materially reduces what Premium includes, we will tell you in advance so that you can cancel in your store account before your next renewal.
14. Ending the agreement
You can stop using the Service at any time and delete your account in Settings → Account → Delete account.
We may suspend or close your account: where you have materially broken these Terms; where we must, to comply with the law; where keeping the account open puts people or the Service at risk; or on 30 days' notice, if we stop offering the Service. Except where a serious breach or a legal requirement makes it impossible, we will give you notice and the chance to put things right.
When your account closes: your access ends; the dates of your repeating Plans that have not started yet are cancelled, and the people going are told; your data is deleted or anonymised as described in our Privacy Policy; any Premium subscription must be cancelled separately in the App Store or Google Play, whichever sold it; and we keep only what the law requires us to keep. Sections 7 (as to the licence for Content still on the Service), 10.7 (as to what you owe us), 11, 15, 16, 17, 20 and 21 survive termination.
15. Warranties, and your rights as a consumer
The Service is provided "as is" and "as available". To the fullest extent the law allows, we exclude all implied warranties, including fitness for a particular purpose, merchantability and non-infringement, and we do not warrant that the Service will meet your requirements, that Content will be accurate, or that Members or Organisers are who they claim to be.
Nothing in these Terms excludes or limits your mandatory rights as a consumer. If you are a consumer in the EU, the legal guarantees under Directive (EU) 2019/770 and Spanish consumer law (Royal Legislative Decree 1/2007) apply, and this section does not restrict them. If you are a consumer in the United Kingdom, the Consumer Rights Act 2015 gives you rights that digital content is of satisfactory quality, fit for purpose and as described, and that services are performed with reasonable care and skill, together with remedies if they are not; this section does not restrict them either.
16. Our liability
Nothing in these Terms limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
Subject to that, and to the fullest extent the law allows:
- We are not liable for indirect, incidental, special, consequential or punitive loss; for loss of profit, revenue, goodwill, opportunity or anticipated savings; or for loss or corruption of data beyond our reasonable control.
- We are not liable for the acts or omissions of Members, Organisers or third-party providers, for what happens at an event, or for Content posted by anyone other than us.
- Our total liability to you for all claims in any 12-month period is limited to the greater of the amount you paid us in that period and fifty euros (€50).
If you are a consumer, these limits apply only to the extent permitted by consumer law, and we remain liable for foreseeable loss caused by our failure to use reasonable care and skill. If you are a consumer in the United Kingdom and digital content we supply damages your device or other digital content because we did not use reasonable care and skill, we will repair the damage or compensate you, as section 46 of the Consumer Rights Act 2015 provides.
Events beyond our control. We are not responsible for failing to do, or being late in doing, anything under these Terms because of an event beyond our reasonable control — for example a failure of the internet or of the power supply, an outage at our hosting provider, Stripe, Apple or Google, a cyberattack we could not reasonably have prevented, a strike, a fire, a flood, a pandemic, or an act of a government or public authority. We tell you as soon as we reasonably can, and do what we reasonably can to limit the effects. This does not take away a refund you are owed under section 10.3.
17. Indemnity
If you are using the Service other than as a consumer, you agree to indemnify us against any claim, loss, liability and reasonable cost (including legal fees) arising from your Content, your use of the Service, your breach of these Terms or of the law, or any event you organise.
18. Changes to these Terms
We may change these Terms when the law or a regulator requires it, when we change or add features, to protect members or the Service, or to make them clearer. Each new version states the date it takes effect. We post it at inklan.com/terms as soon as it is published, and until it takes effect the version in force stays readable there too. We tell every member at least 30 days before a new version takes effect: by email, or in the app if your account has no confirmed email address. From that date, the app asks you to accept the new version before you go on using inklan. If you do not want to accept it, you can instead download your data and delete your account, at no cost, from the same screen; a Premium period you have already paid for runs to its end under the Terms you accepted.
19. Notices, transfer and the whole agreement
We give you notices in the app or by email to the address on your account. Send us legal notices to legal@inklan.com and to our registered office.
You may not transfer your rights under these Terms. We may transfer our rights and obligations under them to a company we set up or control to run inklan, to a group company, or to a buyer of our business, provided your rights are not reduced. We tell you before it happens, and if you do not want to continue with the new provider you can delete your account.
These Terms, with the Privacy Policy and Cookie Policy, are the whole agreement between us about the Service. If any part is found unenforceable, the rest stays in force. Not enforcing a right does not waive it.
20. Governing law and disputes
These Terms are governed by Spanish law.
If you are a consumer, this does not deprive you of the protection of the mandatory rules of the country where you live, and you may bring proceedings in the courts of that country or in the Spanish courts. You may also refer a dispute to a consumer arbitration board (Junta Arbitral de Consumo) or to the consumer authority of your own country.
If you are a consumer in the United Kingdom, the mandatory consumer laws of the UK protect you whatever this section says about Spanish law, and you may bring proceedings in the courts of England and Wales, Scotland or Northern Ireland, whichever part of the UK you live in. We are not required to use an alternative dispute resolution provider and do not use one; you can still get free advice from Citizens Advice or, in Scotland, Advice Direct Scotland.
If you are not a consumer, the courts of Málaga, Spain have exclusive jurisdiction.
Before starting proceedings, please write to legal@inklan.com so we can try to resolve the matter. We aim to reply within 30 days.
